Thank you for choosing CoAI! This Terms of Use Agreement ("Agreement") outlines the legal relationship between You and CoAI regarding your access and usage of our software applications, websites, and related services (collectively, the "Services").

Using our Services in any capacity indicates your full acceptance of these terms. If you disagree with any portion of this Agreement, we kindly ask that you refrain from using our Services.

• Service encompasses all CoAI applications, platforms, and digital offerings.
• You represents any individual or entity accessing our Services.
• Platform refers to our website, mobile applications, and other digital interfaces.

Service Overview

CoAI is a comprehensive LLM asset management platform that provides analytics, session recording, user management, and model routing capabilities. Our platform helps organizations manage and optimize their AI applications through features like provider analytics, usage tracking, and intelligent model routing. We offer the CoAI desktop application along with cloud infrastructure for managing your AI assets, monitoring performance, and streamlining workflows across different LLM providers and models.

User Requirements

By engaging with our Services, you confirm that you:

• Have reached the age of majority (18+)
• Possess the legal authority to enter this agreement
• Will comply with these terms and applicable laws
• Will not misuse our Services for harmful purposes
• Have the necessary technical knowledge to use our Services responsibly

Prohibited activities include:

• Any unlawful actions
• Violation of intellectual property rights
• Creation of harmful or misleading content
• Identity theft or fraudulent behavior
• Unauthorized access attempts or system manipulation

Violation of these terms may result in immediate account suspension or permanent service termination.

Account Creation

Service access requires registration with accurate, current information. You bear full responsibility for all account activity and must maintain account security. Report any unauthorized access or security concerns to CoAI immediately.

Maintain password confidentiality and accept responsibility for all account usage. We reserve the right to modify or remove usernames that contain inappropriate or offensive content.

Financial Terms

You agree to provide valid, current payment and account details for all transactions. Keep your information updated to ensure smooth processing and communication. Applicable taxes will be included as required by law.

By making a purchase, you authorize payment processing through your selected method, including recurring charges where applicable. We may correct pricing errors even after payment acceptance. Third-party payment processors handle transactions, and we're not liable for processing delays or failures.

We utilize secure payment services (like Stripe) and require valid payment cards subject to issuer verification. Service delays due to payment issues are not our responsibility.

We maintain the right to decline orders for reasons including availability, pricing errors, suspected fraud, or unauthorized transactions. We may restrict orders from resellers or distributors.

Pricing Updates

Service fees may change at our discretion with immediate effect. Previously paid services remain unaffected by price changes.

For subscription services, new rates apply at the next billing cycle. We'll notify you before changes take effect, allowing time to cancel if desired. Continued service use indicates acceptance of new rates.

Refund Policy

Unused services qualify for refunds within 30 days of purchase. No refunds are available for used services or purchases beyond 30 days.

Subscription refunds for partially used services are evaluated individually, with final decisions at our discretion.

Content Guidelines

While our platform enables content generation, you retain responsibility for its legality and appropriateness. We don't monitor user-generated content but hold you accountable for all account activities.

Content creation grants us necessary licenses for service operation while you maintain ownership. You warrant that your content is properly authorized and doesn't violate others' rights.

Content storage defaults to local devices under your management. Optional cloud sync is available but without guaranteed data preservation.

Cloud sync users acknowledge our right to maintain content copies. However, we can't guarantee against data loss or corruption from various causes.

We assume no liability for content integrity under any circumstances.

Intellectual Property

All Service components remain CoAI property, including patents, trademarks, and copyrights. Usage rights don't transfer ownership. Modification or reverse engineering is prohibited. Technical contributions should follow our open-source guidelines.

Security Measures

We implement comprehensive security protocols but cannot guarantee against unauthorized access or data breaches. CoAI isn't liable for security-related damages. See our Privacy Policy for details.

Service Discontinuation

You may terminate your account anytime. We may suspend or end service access for terms violations. Termination immediately revokes access rights. CoAI bears no liability for service termination.

Warranty Disclaimer

Services are provided "as-is" without warranties of any kind. We disclaim all guarantees regarding merchantability, fitness, and non-infringement. Service use is at your own risk.

Liability Limitations

CoAI and associates aren't liable for any damages related to service use or inability to use. This applies to all damage types and legal theories.

Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Infringing on others' rights or violating any applicable laws
• Violating these Terms, our policies, or policies of third-party providers supporting our AI models
• Reverse assembling, reverse compiling, decompiling, translating, or attempting to discover the source code, underlying components, algorithms, systems, models, or technologies
• Abusing, damaging, interfering with, reverse engineering, or compromising our services or underlying technologies through fraudulent access, malware introduction, spamming, hacking, or circumventing protections
• Using our services in an automated manner exceeding our established rate limits
• Using our services to develop competing products, applications, services, foundation models, or other large-scale models
• Extracting data through methods like web scraping, harvesting, or data mining, except as permitted by these Terms
• Misrepresenting AI-generated content as human-generated

Terms Updates

We may modify these terms periodically, with new versions replacing previous ones. Changes are effective upon posting, with notice for significant updates. Regular review is recommended. Continued use indicates acceptance.

Legal Framework

Delaware law governs this agreement, with exclusive jurisdiction in Delaware courts. Users must also comply with applicable local and international laws.

Final Provisions

This agreement constitutes our complete understanding, superseding prior arrangements. Non-enforcement of provisions doesn't waive our rights.
